General Company Engagement Terms and Conditions

 

1.0 DEFINITIONS

In these terms of sale, the following words will have the following meanings:

“we, our” or “TC” means Trellis Collective Pty Ltd

“you” or “your” refers to the purchaser of services from TC

“Terms” means these purchase terms of sale;

“FFP” First Five Program

 

2.0 TERMS 

2.1 These Terms of use ( Terms ) govern your engagement of Trellis Collective’s Services. You accept the Terms as they apply from time to time whenever you access the services, and doing so forms a contract between Trellis Collective ( we, us, our ) and persons who access the services ( you ).

2.2 We may change these Terms from time to time. Any changes will come into effect when

the updated terms and conditions will be supplied via email. These terms are important

and you should ensure that you read them carefully before engaging Trellis Collective’s services. You can contact us via email at [email protected] 

2.3 In providing our Services, we are providing you with facts, information, insights and ideas only, in order to assist you in the area indicated. You need to decide what may work best for your company’s or your own personal or career needs and should make your own assessment after careful consideration of your situation.

We do not have your personal information, finances, your individual facts or situation in mind when we provide these Services. Our Services are not intended as, nor should they be construed as medical, professional or life advice and we recommend that you contact a professional advisor, medical professional or other person, if you would like information or advice that takes into account your specific personal and particular goals and situation.

We also do not guarantee any specific results or outcomes from our Services. We do, however, provide our experience, insights, perspectives and recommendations in order to assist you to consider options which may have an overall positive impact and help you achieve your goals.

2.4 We reserve the right at any time and from time to time to remove, delete, alter or amend any of our services without notice. We shall not be liable to you or any third party for any modification when it is required.


3.0
CONTENT

3.1 When you purchase a service that incorporates content (audio or video) we grant you a licence (which is limited, revocable, non-exclusive, non-transferable) to listen to, download (when made available by us) or stream such content to your computer and/or other device(s) solely for your personal or business (depending on agreement), non-commercial use.

3.2 You agree to not otherwise copy, reproduce, distribute or use the content other than as set out in this contract.

3.3 You must not sell, transfer, lease, modify, distribute or publicly perform the content in any manner and you must not exploit it commercially.

3.4 You agree to not tamper with the content or create any derivative works there from.

3.5 We may terminate your licence to use any purchased products if you breach this contract. 


4.0
PAYMENT 

4.1 Payment in full is due within 30 days of invoice date unless otherwise negotiated by either party, or a variation is noted in service-specific sections later in this agreement.

4.2 If a service fee is not paid within 14 days of its due date, we reserve the right to restrict or cancel the service agreement.


5.0
TRAVEL  

In instances where travel is required outside the normal business location at the client's request, all associated travel costs (including flights and accommodation) shall be covered by the requesting company.

6.0 PRIVACY

6.1 You agree that we will collect and manage your personal information supplied to us in accordance with our Privacy Policy.

6.2 You agree to our Privacy Policy available at https://www.trelliscollective.com/privacy-policy 

6.3 Any confidential information or materials that is not already in the public domain which may be provided by you to enable us to perform our consulting services will, at all times, be kept confidential and secure. We will not at any time disclose or allow access by any person or third party to any of the confidential information unless required to perform the Services in which case, we will ensure they are under the same duty of confidentiality.

6.4 We reserve the right to disclose your name and any other personal details to any law enforcement authority or other competent authority or to any person for the purpose of legal proceedings, prosecution, investigation or any breach, alleged breach of the law or these Terms.

 

7.0 LINKS TO THIRD PARTY WEBSITES

7.1 The trelliscollective.com Website includes links to other websites that are operated by third parties. We are not responsible for and do not sponsor, endorse or approve the content or operation of those websites or any products, services or information contained in them or offered by them. You should review the privacy policy and terms and conditions of use of those websites when you visit them.


8.0 
DISCLAIMERS

8.1 You agree and acknowledge that we are not liable for any direct, indirect, consequential or incidental loss or damage which may result from your use of our services.  For the sake of clarity, in no event will we be liable for any consequential, indirect, incidental or special damages of any kind including any damages for loss of income, revenue, profits, interruption of business, loss or use of data even if the possibility of such loss was made known to us, or any impacts on wellbeing or health.

This limitation of liability clause includes any reliance by you on the information on the website, access to or inability to use the website. You assume all risk in using the Services and we cannot be liable for your use of or reliance on this Service.

Certain legislation including the Australian Consumer Law (ACL) in the Consumer and Competition Act 2010 (Cth), and similar consumer protection laws and regulations may confer you with rights, warranties, guarantees and remedies relating to the provision of Services by us to you which cannot be excluded, restricted or modified (Statutory Rights).

Our liability is governed solely by the ACL and these Terms. We exclude all conditions and warranties implied by custom, law or statute except for your Statutory Rights.

Except for your Statutory Rights, all material and work is provided to you without warranties of any kind, either express or implied; and we expressly disclaim all warranties of any kind including but not limited to implied warranties of merchantability and fitness for a particular purpose.


8.2 We do not guarantee that any data, file or program available for download from or via 
the Website or from any website linked to our website is free from virus or any other condition which might or could damage or interfere with data, hardware or software with which it might be used, and in accessing the Website, you assume all risk of use of all materials, programs and files on the Website. Prior to using any downloaded file you should carry out an appropriate virus check. 

8.3 We are not liable to you or any person claiming through you for any loss or damage howsoever caused resulting from the use of our services, website, any website linked to the Website, materials or content including the transmission of any virus.


9.0 
TRADE-MARKS

9.1 Trademarks used on the Website belong to their respective owners. You must not use any trademark displayed on the Website without the express written permission of us or the third-party owner.


10.0
JURISDICTION 

10.1 These Terms are governed by and to be construed in accordance with the laws of Queensland, where Trellis Collective is registered, and the Commonwealth of Australia. You irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of Queensland. If any of these Terms is found to be invalid or unenforceable by a court of law, such invalidity or unenforceability will not affect the remainder of the Terms which will continue in full force and effect.

Service Provision

The following is a breakdown of Trellis Collective Pty Ltd’s Terms of Sale across:

A. STRATEGIC CONSULTING: 

A.1 Duration: The strategy session is scheduled for a duration of up to 3 hours. This includes a 30-minute pre-session briefing call to align on objectives and expectations.

A.2 Location / Format:  The session can be conducted either in-person or virtually, depending on the preferences and availability of the attendees. The location for in-person sessions will be agreed upon in advance. For virtual sessions, a suitable online platform will be selected and communicated to all participants prior to the meeting.

A.3 Attendees: The session should be attended by members of the Human Resources (HR) and/or Senior Leadership teams. Depending on the subject matter and objectives, there may also be involvement from the Executive Committee (ECW) and relevant managers. All attendees should be confirmed at least one week prior to the session.

A.4 Pre-Session Briefing Call: A 30-minute pre-session briefing call will be scheduled with key stakeholders. This call is intended to ensure that the session objectives are clear and that all necessary preparations are in place. The briefing call will take place no later than one week before the strategy session.

A.5 Strategy Session: The strategy session will be conducted according to the agreed-upon agenda and will last for up to 3 hours. This session will focus on the objectives outlined during the pre-session briefing call, ensuring a targeted and effective discussion.

A.6 Follow-Up Summary Notes and Recommendations: Trellis will provide a comprehensive summary of the strategy session, including key discussion points, decisions made, and actionable recommendations. These notes will be delivered within four weeks of the session’s conclusion.



B. TRELLIS COLLECTIVE FIRST FIVE PROGRAM

B.1 Cohorts: Multiple cohorts of the program run each year. Exact dates and times are subject to change and will be notified and communicated in a timely manner.

B.2 Registration Deadline: Registrations close one month prior to the  commencement date, unless otherwise indicated.

B.3 Program Scope:

B.3.1:  Participation in one live coaching round of the program (10 weeks)

B.3.2: 12 months of virtual access to all program materials via Trellis Collective’s LMS.

B.3.3: In the case of Trellis Collective ceasing this program or general operations, the above access durations will be honoured. No pro rata refunds will be offered.

B.4 Refund Policy: All sales are final, and no refunds will be issued.

B.5 Deferrals: Participant registrations can be deferred to the next round up until 4 weeks prior to the registration closing date of the cohort.  Deferrals past this point will incur a 50% surcharge to participate in the next scheduled cohort.

B.6 Transfers: Participant registrations can be transferred to another qualifying participant up until the close of business (COB) one week prior to the cohort commencement that they are scheduled to participate in.

B.6.1 No transfers will be accepted once the cohort has commenced and Module 1 has been released, including in cases of resignation, role change, or lack of engagement. Extenuating personal circumstances will be considered at our discretion.

B.7 Late Registrations: Late registrations will be accepted up until two weeks prior to the commencement date.

B.8 Completion Certificates: Completion certificates can be awarded upon request to participants who complete 80% or more of the program content.

B.9 Engagement and Support: Trellis Collective is committed to ensuring participants engage fully with the program, follow the learning journey, and complete the program however cannot take full responsibility for them doing so. 

We encourage Line/HR Managers to stay engaged with participants to support their commitment to the full program experience.

B.10 Participant Information: Participant details must be provided to Trellis no later than two weeks prior to the cohort start date. See our Privacy Policy for information on how data is stored and used.

 

C.  PROGRAM PARTICIPANT TERMS AND CONDITIONS

C.1 Participants May: Access the Trellis Collective ‘First Five’ online platform and materials for their own personal use and development as often as they like during their access period.

C.2 Participants May Not: Share their username and password with anyone else.

C.2.1 Share the materials from the program with anyone else in any form. This includes printing the materials to share with friends or colleagues; sharing the training videos or audios in a one-on-one or group capacity; taking screenshots of presentation materials, or any and all forms of sharing without permission which breaches IP laws

C.2.2 Add any content to the Website:

C.2.2.1 That might cause a breach of any law or other obligation

C.2.2.2 That might be defamatory, offensive, pornographic, in breach of confidence or a similar obligation, threatening, abusive, liable to incite hatred or a breach of privacy

C.2.2.3 That might be considered as spam or commercial advertising

C.2.2.4.That infringes any rights belonging to another person. 

C.2.3 By posting or adding any content to the Website or posting or making comments during webinars conducted by us, you grant us a perpetual, non-exclusive, royalty free, irrevocable, worldwide and transferable right and licence to use that content in any way without limitation, and you permit us to authorise any other person to do the same thing. You consent to anything which we may do or not do in relation to your content which would otherwise be in breach of your moral rights. This includes that we may use your content without attributing you as the source of your content.

C.2.4 If you email us, unless you specify otherwise, you grant us the same rights in relation to the email as set out in clause above.

C.2.5 You warrant to us that you have the right to grant any rights, licences, consents or waivers required under these Terms.

C.2.5 Image Release:   All Weekly Live Video Group Coaching Calls are recorded and made available for all FFP participants within the private Course portal. As such, through your participation in the Weekly Live Video Group Chats for the FFP you grant permission to TC and its agents and others working under its authority, to take and to have full and free use of video/photographs containing your image/likeness.

C.2.5.1 You understand these images may be used for promotional, news, online/multimedia,research and/or educational purposes by and for TC. You agree that you are not entitled to remuneration, residuals, royalties or any other payment in respect of your image/likeness or its use. You release, discharge, and hold harmless, TC and its agents from any and all claims, demands or causes of actions that you may hereafter have by reason of anything contained in the photographs or video. If you do not agree to the above image release, you must advise Trellis Collective by email as soon as possible at [email protected]

 

D.  SECURE AND SUPPORT MANAGER TRAINING

INDIVIDUALS ATTENDING GROUP TRAINING (MULTI-COMPANY):

D.1 Payment: Full payment is required by two weeks prior to the commencement date.

D.2 Refund Policy: All sales are final, and no refunds will be issued.

D.3 Deferrals: Participant registrations can be deferred to the following training dates if requested at least one month before the training date.

D.4 Transfers: are not permitted 

D.5 Late Registrations: Late registrations are accepted up until two days prior to the commencement date.

D.6 Changes to Schedule: Trellis Collective reserves the right to postpone, reschedule, or change the location of training sessions.

 

COMPANY EXCLUSIVE SECURE AND SUPPORT MANAGER TRAINING:

D.7 Schedule Changes: Training dates are subject to change and will be mutually agreed upon by Trellis Collective and the company.

D.8 Rescheduling cannot be requested by the client with less than 4 weeks notice.

D.9 Hosting Requirements: 

Step 1: Trellis generates a Zoom/Teams link and shares it with client

Step 2: Client creates a meeting invite and adds all relevant company employees along with Trellis Facilitator and any other required contacts to it. 

Step 3: Client adds zoom/Teams link to meeting invite. 

D.10 Feedback: Feedback will be requested from all attending participants within 7 days of training, 

D.10.1 Deidentified and aggregated feedback will be shared with the company organiser for reporting and data collection purposes.

D.10.2 Please note: this will not be possible if fewer than 6 participants complete the post-training survey. 

D.11 Refund Policy: All sales are final, and no refunds will be issued.


E.  SERVICE PACKAGES

E.1 Payment Terms: Full payment is required within 30 days of invoice date unless otherwise agreed upon.

E.2 Cancellations and Refunds: All sales are final, and no refunds will be issued once payment has been processed. 

E.2.1 Cancellations must be made in writing at least two weeks prior to the commencement of the relevant stage to be eligible for a deferral or credit towards future programs.

E.3 Service Duration All services outlined in the service package must be completed within 12 months of the agreed start date. 

E.3.1 Refunds will not be issued for unused services.

E.3.2 A fee may be applied for services to be delayed beyond 12 months.

E.4 Service Changes: Trellis Collective reserves the right to modify the service schedule, content, and fees with prior notice to clients. Any changes will be communicated in a timely manner to ensure minimal disruption.
